Manager, Capital Markets Legal Counsel

The Capital One Legal Department is seeking an attorney for its Capital Markets Legal team to provide business, transactional and regulatory counsel support on capital markets transactions, including for equity and debt capital markets and a variety of different securities transactions and related projects. This position includes the opportunity to play a role in company-wide projects and initiatives and work with senior management and teams across the enterprise.

The Capital Markets Legal team works on complex and novel transactions and projects. We seek candidates who demonstrate a willingness to learn, have an ownership mentality and exhibit a can-do attitude. Strong legal and analytical skills, an ability to navigate unique legal and business situations and the flexibility to simultaneously manage a wide range of projects are essential. Successful candidates will be able to work closely with partners across the company to identify legal and reputational risks, interpret applicable laws and regulations, deliver grounded legal assessments and provide thoughtful and practical solutions and recommendations.

Responsibilities include:

  • Executing on internal processes and procedures in support of a wide variety of equity and debt capital markets transactions

  • Interpreting and providing guidance on existing agreements and obligations

  • Providing strategic legal advice on complex and novel issues, including for Capital One’s Corporate Treasury group

  • Supervising process-oriented work of other legal professionals 

  • Managing and coordinating outside counsel

Basic Qualifications: 

  • Juris Doctorate from an accredited law school

  • Active member in good standing of at least one state bar

  • At least 3 years of experience in a law firm, in-house legal department or a combination

  

Preferred Qualifications: 

  • 4+ years of experience in a law firm, in-house legal department or a combination

  • Familiarity with capital markets transactions, securities documentation and due diligence
